Corporate Governance Policy
The intention of the Board of Directors is to enable Punta to conduct its business efficiently, have good corporate governance and excellent management with the aim of benefiting shareholders’ interest, taking into account the interest of other stakeholders, maintaining business ethics and transparency. Therefore, the Board of Directors has established a policy on good corporate governance as a guideline to which directors, management and employees shall adhere, as follows:
Duties and Responsibilities
The duties and responsibilities on Corporate Governance, Operational Risk Management and Internal Control, and Compliance (GRC), Anti-Fraud and Corruption, Sustainability Management (SM) and Corporate Social Responsibility (CSR) include the following matters.
- Advise the Board and the Management on matters dealing with the Punta Good Corporate Governance, Code of Conduct and Code of Business Ethics.
- Review and endorse strategies, objectives, framework, including policies and guidelines annually to be aligned with Punta’s strategies and objectives, as well as international practices.
- Monitor the implementation and report to the Board.
- Advise the Governance, Risk, Compliance Management Committee (GRCMC).
- Establish the policy of allowing minority shareholders to nominate directors and propose AGM agenda items.
- Establish the policies and define the scopes for supervising matters dealing with Punta’s complaints and anti-fraud and corruption practices.
- Perform other Board-assigned tasks.
- Hold at least one meeting each quarter.
